These Terms of Service ("Terms") govern your access to and use of the Synquil service ("Service") operated by Synquil ("we", "us", or "our"). Please read them carefully. By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.
You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Synquil is a data integration platform that connects your third-party data sources (including Google Sheets, Notion, and HubSpot), syncs that data into a structured private database on your behalf, and exposes it through a Model Context Protocol (MCP) server so that AI tools can query your data in natural language.
The Service uses AI models (including third-party models from Anthropic) to infer database schemas and translate natural-language queries into SQL. AI-generated results may not always be accurate or complete, and you should not rely on them as a substitute for professional advice.
You must provide accurate and complete information when creating your account. You are responsible for:
We reserve the right to disable accounts that we reasonably believe have been compromised or used in violation of these Terms.
You agree not to use the Service to:
We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account.
You retain full ownership of your data. These Terms do not grant us any ownership rights in your data. By connecting a data source, you grant us a limited, non-exclusive, worldwide license to access, process, and store your data solely for the purpose of providing the Service to you.
You are solely responsible for the accuracy, legality, and appropriateness of data you connect to Synquil. You represent that you have all necessary rights and permissions to provide such data to the Service.
By connecting a third-party service (e.g., Google, Notion, HubSpot), you authorize Synquil to access and store data from that service on your behalf, and you agree to comply with the terms of service of those third-party providers. We are not responsible for the actions or omissions of third-party service providers.
Your data is never used to train AI models, whether by Synquil or any third party. AI models used within the Service process your data solely to generate schema definitions and SQL queries in real-time, and are not trained or fine-tuned on your data.
Synquil offers both a free tier and paid subscription plans. Paid plans are billed in advance on a monthly basis via Stripe. Current pricing is displayed on our pricing page.
Each plan includes limits on the number of data source connections, total synced rows, sync frequency, and MCP query rate per minute. We will notify you when you approach your limits. Exceeding limits may result in throttling, paused syncs, or a prompt to upgrade.
You may upgrade your plan at any time; the new rate takes effect immediately and is prorated. Downgrades take effect at the end of the current billing period.
You may cancel your subscription at any time from the Settings page. Access to paid features continues until the end of your current billing period. We do not offer refunds for unused portions of a billing period.
We reserve the right to change our pricing with at least 30 days' advance notice sent to your account email. If you do not agree to a price change, you may cancel before it takes effect.
Prices are exclusive of applicable taxes. You are responsible for any sales, use, or VAT taxes applicable to your subscription in your jurisdiction.
The Service, including its software, design, text, and graphics, is owned by Synquil and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or service marks. You may not copy, distribute, modify, or create derivative works based on the Service without our prior written consent.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. We do not warrant that:
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNQUIL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Synquil and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any data you connect to or process through the Service.
You may close your account at any time from the Settings page. Upon closure, all your data (including synced data, OAuth tokens, API keys, and schema definitions) will be permanently deleted within 30 days.
We may suspend or terminate your account, with or without notice, if: (a) you violate these Terms; (b) we are required to do so by law; (c) your account poses a security risk; or (d) we discontinue the Service. In cases of non-payment, we will provide at least 7 days' notice before suspension.
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and indemnification) will survive.
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will endeavor to provide advance notice of material changes that affect paid subscribers. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may revise these Terms from time to time. We will notify you of material changes by emailing the address associated with your account at least 14 days before the revised Terms take effect. The "Last updated" date at the top of this page will reflect the most recent revision. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service and may close your account.
We encourage you to contact us first at hello@synquil.com if you have a dispute, as most issues can be resolved informally. If a dispute cannot be resolved informally, you agree that it will be resolved by binding arbitration rather than in court, except that either party may bring individual claims in small claims court. You waive any right to participate in a class action lawsuit or class-wide arbitration against Synquil.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes arising from these Terms.
